These Terms govern your use of Resid, a tool that helps photographers and videographers license their
work. By creating an account or using Resid, you agree to these Terms.
1The service
Resid helps you find licensing prospects, price licenses, draft and send outreach, collect
payment, and deliver files. Resid is a tool for your own business. You decide who to contact, what
to charge, and what to deliver.
2Accounts
You are responsible for your account and for keeping your credentials secure. You must provide
accurate information and be authorized to use any connected accounts, such as Gmail and Stripe.
3Your work, your copyright
You are the author of your photographs and films and you keep every right in them. Resid claims
no ownership of your work, and never will. What follows is the whole of what Resid may do with
it.
You retain copyright. Uploading work to Resid transfers nothing. You remain free to
license, publish, sell, register, and use your work however you wish, with or without Resid.
Resid's permission is limited to running the service for you. By uploading, you grant
Resid a non-exclusive, worldwide, royalty-free license to store, encode, resize, and display
your work solely to operate the features you use: hosting your galleries, delivering
files to the clients you send them to, generating preview frames and thumbnails, producing your
license agreements, and backing the work up so it is not lost. This permission exists so the
software can function, and for no other reason.
Resid does not use your work for its own purposes. Resid will not use your photographs
or films in its own marketing, advertising, website, social media, or sales material without
asking you first and getting your permission in writing. Resid will not sell, rent, or license
your work to anyone, and will not sublicense it except to the service providers described
below, purely so they can perform the hosting and delivery on Resid's behalf.
Resid does not train AI models on your work, and does not permit its providers to.
Your imagery is sent to an AI provider in exactly one circumstance: when you yourself use
"Scan photos for brands", and then only the photographs you choose for that scan.
Every other AI feature in Resid (finding partners, drafting outreach, looking up a permit)
sends text such as an address or a company name, never your photographs or films.
The permission ends when you do. Delete a gallery, a film, or your account and Resid's
license to that content ends, apart from copies that persist briefly in routine backups before
they age out.
You are responsible for the accuracy of the contact information you enter, and for your
outreach complying with applicable law, including anti-spam and privacy rules.
You are responsible for your licensing terms, pricing, and your relationship with each
licensee. Resid facilitates the workflow. It is not a party to your license agreements.
4License agreements are not legal advice
Any license agreement, quote, or template Resid generates is a convenience template, not legal
advice. Resid does not provide legal services. You should have your agreements reviewed by your
own attorney before relying on them, and you are responsible for the terms you offer.
5Fees and payments
Resid may charge a subscription, or a percentage of the licenses you collect through the
service, or both. The current fees are shown in the app before you incur them.
Licensee payments are processed by Stripe and paid out to your connected account. Your
use of Stripe is subject to Stripe's terms.
You are responsible for any taxes on your licensing income.
6Acceptable use
Do not use Resid to send unlawful, deceptive, harassing, or infringing communications, to
impersonate others, or to violate the terms of any connected service, including Gmail and Stripe.
We may suspend accounts that misuse the service.
7Third-party services
Resid relies on third-party services, including Stripe for payments and Google's Gmail API for
sending, along with cloud database, AI, and hosting providers. Your use of features that depend on
them is also subject to their terms, and we are not responsible for their acts or outages.
8Disclaimer and limitation of liability
Resid is provided "as is" and "as available", without warranties of any kind. To the fullest
extent permitted by law, Resid will not be liable for indirect, incidental, or consequential
damages, or for lost profits or revenue, arising from your use of the service. Our total liability
will not exceed the amount you paid us in the twelve months before the claim.
9Termination
You may stop using Resid and delete your account at any time. We may suspend or terminate access
for violations of these Terms. Provisions that by their nature should survive termination will
survive.
10Changes
We may update these Terms as the service evolves. Continued use after an update means you accept
the revised Terms.
11Governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws
rules.
